The Coompass platform, powered by blockchain technology, is designed to enhance engagement with Environmental, Social, and Governance (ESG) standards across various industries. By using our services, you agree to these Terms, which govern your use of our Platform (as further described below) and services. Please read them carefully to understand your rights and obligations.

  • Overview of Coompass Services

Coompass offers a decentralized platform that connects employees with sustainability projects that align with their personal values and professional skills. Through our blockchain-based system, we ensure that all contributions are transparently recorded, fostering a culture of accountability and collaboration

Leveraging the power of blockchain technology, Coompass devised an innovative token incentive system that keeps employees and companies actively engaged in impactful programs and initiatives but also empowers social organizations to optimize mission development efficiently.

  • Acceptance of Terms

The  Terms and Conditions of use of the Coompass platform accessed via https://www.coompass.io/, its sub-domains and applications (the “Platform”), together with any additional terms they expressly incorporate by reference, constitute a legally binding agreement between you ("you", "your" or "user") and Coompass ("Company", "we", "our" or "us"), governing your access to and use of any services offered on or through the Platform By using the Platform, registering for a Coompass Account, or utilizing Coompass’ Services, you confirm that you have thoroughly read, comprehended, and accepted the following Terms and Conditions, and you accept and agree to be bound and comply with these Terms and Conditions, that are subject to updates and amendments.

If you do not fully understand and agree to these Terms and Conditions in their entirety, you must not access or use the Platform nor register for a Coompass Account.

By accessing or using our Platform, you represent and warrant that you are of legal age as defined by the applicable law to enter into a binding agreement with the Company. Failure to meet these requirements excludes you from accessing or using the Platform.


  1. Personal Information We Collect

By providing your personal details and using our Platform, you consent to the collection, use, reproduction, hosting, transmission, and disclosure of any content submitted by you in accordance with our Privacy Policy, which can be found at https://www.coompass.io/privacy-policy, as we deem necessary for the use of the Platform and the provision of services.

Personal data, or personal information means any information that relates to an identified or identifiable living individual. This is a broad definition that includes the specific pieces of personal data that we have described below.

  • Information Provided by Users

Depending on whether and how you use our services or Platform, we will collect, use, store, and transfer different kinds of personal data about you.

Personal information you may provide to us through the Platform or our services otherwise includes:

a) Contact data, such as your first and last name, email address, billing and mailing addresses, professional title and company name, and phone number.

b) Demographic data, such as your city, state, country of residence, postal code, and age.

c) Profile data, such as the username and password that you may set to establish an online account on the Service, photograph or picture, interests, skills, preferences, and any other information that you add to your account profile.  

d) Communications data based on our exchanges with you, including when you contact us through the Service, social media, or otherwise. 

e) Marketing data, such as your preferences for receiving our marketing communications and details about your engagement with them.

f) Payment data needed to complete transactions, including payment card information or bank account number.

g) Other data not specifically listed here, which we will use as described in our Privacy Policy, which can be found at https://www.coompass.io/privacy-policy or as otherwise disclosed at the time of collection.

  • Automatic Data Collection

We may automatically collect and record information about you, your computer or mobile device, and your interaction over time with our services, our communications and other online services such as:

a) Device data, such as your computer or mobile device’s operating system type and version, manufacturer, and model, browser type, screen resolution, RAM and disk size, CPU usage, device type, IP address, unique identifiers (including identifiers used for advertising purposes), language settings, mobile device carrier, radio/network information, and general location information such as city, state or geographic area.

b) Online activity data, such as pages or screens you viewed, how long you spent on a page or screen, the Platform you visited before browsing to the Service, navigation paths between pages or screens, information about your activity on a page or screen, access times and duration of access, and whether you have opened our emails or clicked links within them.

c) Communication interaction data such as your interactions with our email, text or other communications (e.g., whether you open and/or forward emails) – we may do this through the use of pixel tags (which are also known as clear GIFs), which may be embedded invisibly in our emails.

  • Information from Third-party Sources

Our services may display, contain or make available content, data, information, or materials from third parties (“Third Party Materials”), or provide links to certain third-party websites or platforms. By using our services, you acknowledge and agree that the Company is not responsible for examining the content's correctness, completeness, timeliness, copyright compliance, legality, decency, quality, or any other aspect of such Third Party Materials or websites.

We have no control over and assume liability and no responsibility to you or any other person for any third-party services, Third-Party Materials, third-party websites, privacy policies, or practices. Third-party materials and links to other websites or platforms are provided solely as a convenience to you. We strongly advise you to review the Privacy Policy of every website or platform you visit.


  1. How We Use Your Personal Information

Coompass may use your personal information for the purposes set out in the following sections or as otherwise described at the time of collection:

  • Service Delivery and Operations

We may use your personal information to provide our service; activate security features of the service; establish and maintain your account and user profile on the service, including sending you suggestions for task and mission opportunities; communicate with you about our service, including sending you service-related announcements, updates of any kind, marketing, security alerts, and support and administrative messages; communicate with users about the missions and opportunities they are involved in; and provide support for the service and respond to your requests, questions and comments.

  • Service Personalization and Improvement

We may use your personal information to personalize and improve your experience of our Platform and services, which may include, but is not limited to, using your personal information to understand your needs and interests; personalize your experience with our service and our communications; remember your selections and preferences as you navigate through the platform; to analyze your use of our platform, improve our service, help us understand user activity, including which pages are visited most and least and how visitors use the platform, as well as user interactions with our emails, and to develop and improve products and services.

  • Marketing and Communication Initiatives

We, our service providers, and our advertising partners may collect and use your personal information for marketing and advertising purposes, including including for direct marketing and interest-based advertising. We may send you direct marketing communications and we may personalize these messages based on your interests. You may opt out of receiving marketing communications from us. We and our third-party advertising partners may use cookies and other technologies to collect information about your interactions with our services, our communications, and other online services over time, and use that information to serve online advertisements that we think may be of interest to you.


  1. Use of Blockchain Technology

Coompass uses blockchain technology to optimize the way Users (NGOs, Companies and Employees) report, record and communicate their sustainability activities. This ensures the integrity of data and enables transparent reporting of your activities and contributions.

All proposed transactions are recorded in a public blockchain (learn more), which is not owned, controlled, or operated by us. The blockchain is operated by a decentralized network of independent third parties. We have no control over the blockchain and therefore cannot and will not ensure that any transaction details you submit via the Services will be confirmed on the blockchain. You acknowledge and agree that the transaction details you submit via the Services may not be completed, or may be substantially delayed, by the blockchain. 


  • Transparency in Reporting

By using blockchain technology, our platform provides a transparent and reliable ecosystem that enables seamless collaboration between Users. This way, data becomes immutable, ensuring transparency and accountability.


  1. How We Share Your Personal Information

  • Sharing with NGOs and Partners

If you indicate to us, through our platform or services, that you are interested in a particular task or mission and provide us with your information through our platform, we will pass on your information to the NGO or Partner that indicated that mission so that they can contact you regarding your potential involvement. However, please note that each mission and NGO has its own policies regarding the collection and processing of personal information and we are not responsible for their use of your data. For more information on the data collection policy for a particular mission or task, please contact the NGO or Partner in question directly, using the contact information published for that purpose.

  • Service Providers and External Agencies

We may share your personal information with third parties who provide services on our behalf or who assist us in providing our services, or help operate our platform or our business (such as customer support, hosting, information technology, emailing, marketing, consumer research, and Platform analytics).

  • Legal and Compliance Requirements

We may share your personal information as necessary, including with government authorities and private parties if we believe in good faith that it is necessary or appropriate, including for the following compliance and protection purposes:

a) To comply with applicable laws, lawful requests and any legal processes, such as responding to requests from government authorities;

b) To protect our, your or other’s rights, privacy, safety, or property;

c) Auditing our internal processes to verify compliance with legal and contractual requirements or our internal policies; 

d) Enforce the terms and conditions governing our services; and 

e) Prevent, identify, investigate, and stop fraudulent, harmful, unauthorized, unethical, or illegal activities, including cyber-attacks and identity theft.  


  1. User Responsibilities 

  • Account Creation and Maintenance

When Users (NGOs, Companies, and Employees) create an account with us, they must provide us with accurate, complete, and up-to-date information at all times. Failure to do so constitutes a breach of the Terms, which may result in the immediate termination of the user account on our service.

Users are responsible for maintaining the confidentiality of their account and password and for restricting access to their devices. You agree to accept responsibility for all activities that occur under your account or password. You may not assign or transfer your account to any other person or entity. You acknowledge that we are not responsible for third-party access to your account that results from theft or misappropriation of your account. We reserve the right to refuse or cancel service, terminate accounts, or remove or edit content in our sole discretion.

  • Appropriate Use of the Service

You must only use our platform and services for their stated or intended purpose and in accordance with this Agreement and all applicable laws and regulation.

  • Prohibited Activities

Users (NGOs, Companies, and Employees) are not allowed to do any of the following unless applicable laws or regulations prohibit these restrictions or you have our written permission to do so:

a) Modify, copy, distribute, reproduce, license, create derivative works from, or offer for sale any information contained in or obtained from our platform or through our services;

b) Duplicate, reverse engineer, decompile, disassemble, or decode any content of our services (including any underlying idea or algorithm), or otherwise attempt to do the same;

c) Utilize automation software, hacking, modifications, or any other unauthorized external software designed to modify our services;

d) Utilize, reproduce, or remove any copyright, trademark, trade name, slogan, logo, image, or other proprietary notation displayed on or through our platform or services;

e) Use the services for any commercial or advertisement purpose;

f) Access or use our platform in any manner that could damage, overburden, or disable the Services or interfere with any other party's access to or use of the Services.

g) Interfere with, damage, or attempt to gain unauthorized access to the Services, or the computer systems or networks connected to the Services;

h) Introduce any viruses or other malicious or technologically harmful materials into our platform;

i) Use our platform or services for illegal, harassing, unethical or disruptive purposes;

j) Violate any applicable law or regulation in connection with your access to or use of our platform or services; or

k) Access or use our platform or services in any manner not expressly permitted by these Terms.


  1. Intellectual Property Rights

  • Ownership and Licenses

You understand and agree that the Platform, along with all its contents, features, and functionality—including but not limited to information, software, code, data, text, displays, graphics, photographs, images, video, audio, music, broadcasts, design, presentation, layout, selection, and arrangement—is owned by the Company, its licensors, or other material providers and is protected by intellectual property laws, including but not limited to copyright, trademark, patent, trade secret, and other proprietary rights.

  • User Content

If you post, upload, input, provide or submit any content, data, or information on our platform, including your name, email address, IP address, blockchain account name or address, text, code, or other information and materials (“User Content”), you must ensure that the User Content provided by you at that or any other time is true, accurate, up-to-date, complete and not misleading and that any User Content does not infringe the intellectual property rights of any third party.

We recognize your ownership of your content. By sharing, posting, or uploading content on our platform, you grant us a non-exclusive, transferable, sub-licensable, royalty-free, irrevocable, perpetual, worldwide license to use, reproduce, distribute, transmit, display, copy, publicly show, translate, and create derivative works of your user content. This includes using your name, image, and any other details you provide. This license encompasses all patent, trademark, trade secret, copyright, or other proprietary rights in your user content globally, for publication and sharing on our platform. It also covers the promotion and redistribution of any part of your User Content and/or our platform in any media format and through any media channels.

Each User grants all other users a non-exclusive license to access, use, reproduce, distribute, display, and perform their User Content under these Terms and Conditions. You acknowledge that, due to the nature of our Platform's technology, we may not be able to remove or delete User Content once it has been shared.

Users are solely responsible for the User Content they upload, post, email, transmit, share, or otherwise disseminate through our platform. Users represent and warrant that they have the necessary rights to grant the licenses specified in this section, and that their activities on our platform, as well as their user content, do not infringe on any third-party rights or violate any agreements, Company policies, or applicable laws.

The Company will terminate your access to and use of the Platform if, under appropriate circumstances, you are determined to be an infringer of the property rights of the Company or others. In the case of such termination, the Company will have no obligation to provide a refund of any amounts previously paid to the Company.

The rights granted to you in these Terms are subject to your compliance with the restrictions set forth in this section. Any unauthorized use of our services terminates the licenses granted by the Company pursuant to these Terms.

  • Coompass Proprietary Rights

Intellectual Property: We retain all rights, title, and interest in all of our intellectual property, including inventions, discoveries, processes, marks, methods, compositions, formulas, techniques, information, and data, whether or not they are patentable, copyrightable, or protectable by trademark, as well as any trademarks, copyrights, or patents derived from them. You may not use any of our intellectual property without our express, prior, written consent, which we may revoke at any time.

Hardware and Software: Under no circumstances will you gain any proprietary rights in any computer hardware or software (except for the value of the Tokens in your Resulting Distribution) used by us or our affiliates.

Suggestions: If you provide any suggestions to us, we will own all rights, title, and interest in those suggestions, even if you designate them as confidential or proprietary. We will be entitled to use the suggestions without restriction. You irrevocably assign to us all rights, titles, and interests in the suggestions and agree to provide any assistance required to document, perfect, and maintain our rights in the suggestions.


  1. Service Use and Restrictions

  • Access and Security

We employ technical safeguards designed to protect the personal information we collect. However, security risk is inherent in all online activities and we cannot ensure the security of your personal information.


  • Modifications to the Service

Coompass has the right to modify or discontinue the services with or without prior notice to users. We will not be liable to you or any third party if we exercise our right to modify or discontinue the services. The use of our services and platform by users after notification of such changes will indicate their acknowledgment of such changes. Coompass may require you to accept updates to the Code you have installed on your computer systems. Any future release, update, or other addition to the functionality of the Services will be subject to these Terms.


  1. Changes to Terms and Services

  • Notification of Changes

This Agreement is the entire agreement between you and us concerning the Service. It supersedes all prior or contemporaneous agreements between you and us. We may modify this user agreement at any time. If we make changes to this agreement that materially affect your rights, we will provide notice and keep this edition available as an archive. In the event that the last email address you provided us is not valid, or for any reason is not capable of delivering to you the notice described above, our dispatch of the email containing such notice will nonetheless constitute effective notice of the changes described in the notice. You are responsible for providing us with your most current email address.

  • Acceptance of Changes

We may require you to provide consent to the updated Terms in a specified manner before further use of the Services is permitted. If you do not agree to any change(s) after receiving a notice of such change(s), you shall stop using the services. By continuing to use the Services after a change to this agreement, you agree to those changes.


  1. Termination and Suspension

  • Rights and Procedures

Coompass has the right to suspend or terminate any services provided to you, in its sole discretion, for any or no reason, including but not limited to (i) if you have violated any provision of these Terms, or (ii) if we are required to do so by law. You agree that Coompass will not be liable to you or any third party for any termination of your Account.

If you wish to terminate the services provided by Coompass, you may do so by notifying us or by terminating your Account. Coompass may choose to refund any fees already paid at its sole discretion.

  • Effects of Termination

Termination of our services includes removing access to our services and preventing further use of them. Termination also includes deletion of your related information, files, and Content associated with Your Account (or any part thereof).  We have no liability to you for any suspension or termination, including the deletion of your content. All provisions of these Terms that by their nature should survive, will survive termination of the Services and these Terms, including, without limitation, ownership provisions, indemnification provisions, warranty disclaimers, and limitation of liabilities.


  1. Dispute Resolution

  • Governing Law

Claims relating to, including the use of, the services and the contents contained herein are governed by the laws of Portugal, without regard to its conflicts of laws and rules. 

  • Arbitration and Waiver of Class Action

You and Coompass agree that any dispute, claim, or disagreement arising out of or relating in any way to your access to or use of the services, including claims and disputes that arose between you and us prior to the effective date of these Terms, will be resolved by binding arbitration, rather than in court.

You agree to waive any rights to litigate claims in court or to participate in a class action regarding a claim. Other rights that you would have if you went to court may also be unavailable or limited in arbitration.

You hereby waive any right to commence or participate in any class action lawsuit against Coompass related to any claim, dispute, or controversy, and, where applicable, you hereby agree to opt out of any class proceeding against Coompass otherwise commenced.

  • Entire Agreement

These Terms constitute the entire and exclusive and final statement of the agreement between you and us with respect to the subject matter hereof, and govern your use of the services, superseding any prior agreements or negotiations between you and us with respect to the subject matter hereof.

  • Severability and Waivers

Our failure to exercise or enforce any right or provision of the Terms does not constitute a waiver of such right or provision. Any waiver or failure to enforce any provision of these Terms will not be deemed a waiver of any other provision or of that provision on any other occasion. If any provision of the Terms is held invalid by a court of competent jurisdiction, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision and that the other provisions of the Terms remain in full force and effect.
